MONDAI SACRED SOFTWARE AFFILIATE PROGRAM TERMS AND CONDITIONS

1. AGREEMENT TO TERMS

By participating in Calibrated Ascension Consulting LLC's mondAi Sacred Software Campaign affiliate program (the "Program"), you ("Affiliate," "you," or "your") agree to be bound by these Terms and Conditions (this "Agreement") and all applicable laws and regulations. If you do not agree with any provision of this Agreement, you must not participate in the Program.

2. COMMISSION STRUCTURE AND PAYMENT TERMS

2.1 Commission Calculation

All commission percentages are calculated on net revenue from mondAi Sacred Software sales after deduction of processing fees, which may vary based on merchant processing fees, payment method, customer location, currency conversion fees, chargebacks, refunds, taxes, and other transaction-related costs as determined by Calibrated Ascension Consulting LLC in its sole discretion.

2.2 Payment Schedule

Commission payments shall be remitted thirty (30) business days following the completion of the customer's purchase transaction, provided that:

The transaction has not been subject to chargeback, refund, or dispute;

All payment processing has been completed;

Affiliate has satisfied all requirements set forth in this Agreement.

2.3 Payment Methods

Payments shall be made via one of the following methods at Company's discretion:

A. PayPal: Payments made via PayPal may be subject to additional processing fees, currency conversion fees, and other charges imposed by PayPal, which shall be deducted from the commission payment. Affiliate acknowledges and agrees that such fees are beyond Calibrated Ascension Consulting LLC's control and shall not be reimbursed by the Company.

B. Bank Deposit: Direct bank deposits require completion and submission of appropriate tax documentation:

U.S. persons must submit Form W-9 (Request for Taxpayer Identification Number and Certification)

Non-U.S. persons must submit Form W-8 (Certificate of Foreign Status)

Tax forms may be obtained from the Internal Revenue Service at: https://www.irs.gov/forms-pubs

2.4 Information Requirements and Account Holds

Failure to provide complete and accurate payment information, tax documentation, or other required information shall result in commission payments being placed on hold. Calibrated Ascension Consulting LLC reserves the right to withhold all payments until such time as complete information is provided and verified.

2.5 Unclaimed Commission Forfeiture

Any commission payments that remain unclaimed or undeliverable for a period of twelve (12) months from the date of initial payment attempt shall be forfeited and revert to Calibrated Ascension Consulting LLC. The Company reserves the right to escheat such funds to the appropriate state authority where required by law. Affiliate waives any claim to such forfeited commissions and acknowledges that Calibrated Ascension Consulting LLC shall have no further obligation regarding such amounts.

3. PROMOTIONAL STANDARDS AND RESTRICTIONS

3.1 Approved Marketing Materials

Affiliate may only use marketing materials, creative assets, logos, trademarks, and other promotional content related to the mondAi Sacred Software Campaign that have been expressly approved and provided by Calibrated Ascension Consulting LLC. Use of any unauthorized materials is strictly prohibited and constitutes grounds for immediate termination.

3.2 Promotional Method Restrictions

Affiliate agrees to promote the mondAi Sacred Software and Calibrated Ascension Consulting LLC's services in a manner consistent with the Company's brand standards and ethical guidelines. Prohibited promotional activities include, but are not limited to:

A. Deceptive Practices:

False, misleading, or deceptive advertising claims

Misrepresentation of product benefits, features, or pricing

Creation of false scarcity or urgency

Impersonation of Calibrated Ascension Consulting LLC employees or representatives

B. Spam and Unsolicited Communications:

Unsolicited email marketing (spam)

Unsolicited text messaging or SMS campaigns

Posting in forums, groups, or platforms where commercial promotion is prohibited

C. Search Engine and Paid Advertising Violations:

Bidding on Calibrated Ascension Consulting LLC's or mondAi Sacred Software's trademarked terms without express written permission

Creating misleading landing pages or bridge pages

Using the Company's or mondAi Sacred Software's brand names in domain names without authorization

D. Unethical Content Association:

Promotion on websites containing adult content, violence, hate speech, or illegal activities

Association with content that disparages competitors through false claims

Promotion through pyramid schemes, MLM structures, or similar arrangements

3.3 Compliance with Laws and Regulations

Affiliate shall comply with all applicable federal, state, and local laws and regulations, including but not limited to:

Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials

CAN-SPAM Act requirements for email marketing

State and local advertising and business regulations

International laws where applicable

4. TERMINATION PROVISIONS

4.1 Company's Right to Terminate

Calibrated Ascension Consulting LLC reserves the right to terminate this Agreement and Affiliate's participation in the mondAi Sacred Software Campaign immediately, with or without cause, and with or without notice, at the Company's sole discretion. Grounds for termination include, but are not limited to:

A. Breach of Agreement: Any violation of the terms, conditions, or restrictions set forth in this Agreement.

B. Unethical Conduct: Engagement in fraudulent, deceptive, or unethical business practices.

C. Brand Damage: Any action that, in Calibrated Ascension Consulting LLC's sole judgment, damages or may damage the Company's reputation, brand, or business relationships.

D. Regulatory Violations: Failure to comply with applicable laws, regulations, or industry standards.

E. Performance Issues: Consistent underperformance or violation of performance standards as determined by Calibrated Ascension Consulting LLC.

4.2 Effect of Termination

Upon termination of this Agreement:

Affiliate's right to earn commissions shall cease immediately

All unpaid commissions may be forfeited at Calibrated Ascension Consulting LLC's discretion

Affiliate must immediately cease all promotional activities for mondAi Sacred Software

Affiliate must remove all Company-provided marketing materials from all platforms

5. INTELLECTUAL PROPERTY RIGHTS

5.1 License Grant

Calibrated Ascension Consulting LLC grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use the Company's approved mondAi Sacred Software marketing materials solely for the purpose of promoting the mondAi Sacred Software in accordance with this Agreement.

5.2 Restrictions on Use

Affiliate shall not:

Modify, alter, or create derivative works of Calibrated Ascension Consulting LLC's intellectual property

Use the Company's or mondAi Sacred Software's trademarks, trade names, or logos without express written permission

Apply for trademark registration of the Company's marks or similar marks

6. REPRESENTATIONS AND WARRANTIES

6.1 Affiliate Representations

Affiliate represents and warrants that:

It has the legal capacity to enter into this Agreement

All information provided to Calibrated Ascension Consulting LLC is true, accurate, and complete

It will comply with all applicable laws and regulations

It will not engage in any fraudulent or deceptive practices

6.2 Disclaimer of Warranties

CALIBRATED ASCENSION CONSULTING LLC PROVIDES THE AFFILIATE PROGRAM "AS IS" WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL CALIBRATED ASCENSION CONSULTING LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

8. INDEMNIFICATION

Affiliate agrees to indemnify, defend, and hold harmless Calibrated Ascension Consulting LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Affiliate's breach of this Agreement or violation of any law or regulation.

9. MODIFICATION AND GOVERNING LAW

9.1 Modification Rights

Calibrated Ascension Consulting LLC reserves the right to modify this Agreement at any time by posting revised terms on its website. Continued participation in the mondAi Sacred Software Campaign after such modifications constitutes acceptance of the revised terms.

9.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [STATE/JURISDICTION], without regard to its conflict of laws principles.

9.3 Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. MISCELLANEOUS PROVISIONS

10.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.

10.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Independent Contractor Relationship

Affiliate is an independent contractor and not an employee, agent, or representative of Calibrated Ascension Consulting LLC. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

10.4 Assignment

Affiliate may not assign or transfer this Agreement without Calibrated Ascension Consulting LLC's prior written consent. The Company may assign this Agreement at any time without notice.

BY PARTICIPATING IN THE MONDAI SACRED SOFTWARE AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
