THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE MONDAi PLATFORM AND SERVICES. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT, OR ACCESSING OR USING ANY PART OF THE PLATFORM, YOU REPRESENT THAT:

(1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE;

(2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH CALIBRATED ASCENSION CONSULTING LLC;

(3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION IS TRUE, ACCURATE, AND COMPLETE; AND

(4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF SERVICE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU REPRESENT, AND TO BIND THAT ENTITY TO THIS AGREEMENT.

CERTAIN PORTIONS OF THE PLATFORM MAY BE SUBJECT TO “OPEN SOURCE” OR “FREE SOFTWARE LICENSES.” SUCH COMPONENTS WILL BE GOVERNED BY THEIR RESPECTIVE LICENSE TERMS AND NOT BY THESE TERMS.

ONCE ACCEPTED, THESE TERMS OF SERVICE, TOGETHER WITH OUR PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND ANY AFFILIATE OR PARTNER AGREEMENT (WHERE APPLICABLE) (COLLECTIVELY, THE “TERMS”), CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU (OR THE ENTITY YOU REPRESENT) AND CALIBRATED ASCENSION CONSULTING LLC, ITS AFFILIATES, SUCCESSORS, AND ASSIGNS (“MONDAi,” “WE,” OR “US”). THESE TERMS GOVERN YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL RELATED INTERACTIONS WITH MONDAi.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT, ACCESS, OR USE THE PLATFORM. YOU WILL BE DEEMED TO HAVE ACCEPTED AND CONSENTED TO THESE TERMS BY PERFORMING ANY OF THE FOREGOING ACTIONS. IN THE EVENT OF A CONFLICT BETWEEN THESE TERMS OF SERVICE AND ANY ADDITIONAL AGREEMENT INCORPORATED BY REFERENCE, THESE TERMS SHALL CONTROL.

MONDAi reserves the right to make changes to these Terms of Service at any time. All changes are effective immediately when posted on our website. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the updated Terms.

MONDAi provides access to the Platform for your independent business use without any promise of exclusivity. MONDAi’s users, clients, affiliates, experts, and partners are not employees, contractors, or representatives of Calibrated Ascension Consulting LLC. We are not responsible for any interactions, agreements, or disputes between you and your customers or clients, other than providing access to the Platform. MONDAi is not liable for any claims, losses, injuries, or damages arising from your relationships, communications, or transactions with your customers, including any reliance they place on your content or services. You are solely responsible for establishing and enforcing your own terms of service, policies, and compliance requirements in your business.

You are responsible for ensuring that your use of the Platform complies with applicable laws and regulations in your jurisdiction. MONDAi does not provide legal advice. You should consult with an attorney to ensure your use of the Platform, as well as your marketing, data handling, and customer agreements, meet all relevant legal and compliance obligations.

1. Use Of Platform.

Welcome to MONDAi — a platform provided by Calibrated Ascension Consulting LLC (“MONDAi,” “we,” “us,” or “our”), located at 2226 Eastlake Ave E, #1213, Seattle, WA 98102, USA. These Terms of Service (“Terms”) govern your access to and use of the MONDAi platform, websites, and related products or services (collectively, the “Platform”). By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree, you must discontinue use immediately.

White-Label Notice: MONDAi is a white-labeled version of GoHighLevel. The core infrastructure, hosting, and certain backend operations are provided by GoHighLevel Inc. Your contractual relationship, billing, and support relationship are exclusively with Calibrated Ascension Consulting LLC. GoHighLevel is not a party to these Terms.

Eligibility and Account Registration

You must be at least 18 years old and capable of entering a legally binding contract to use MONDAi. You agree to provide accurate and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Use of the Platform

You agree to use MONDAi solely for lawful business purposes and in compliance with these Terms, applicable laws, and all reasonable instructions provided by us. You may not:

• Copy, modify, or reverse-engineer the software.

• Use the Platform for illegal, harmful, or deceptive activities.

• Upload viruses, spam, or malicious code.

• Violate intellectual property or privacy rights of others.

We reserve the right to suspend or terminate access if misuse or violation of these Terms occurs.

Subscriptions, Billing, and Payments

Access to MONDAi is provided through paid subscription plans. By subscribing, you authorize us (and our payment processors such as Stripe or PayPal) to charge your selected payment method on a recurring basis until canceled. All fees are stated in U.S. dollars and are non-refundable except as required by law. You may cancel anytime; your cancellation will take effect at the end of your current billing period.

We reserve the right to update pricing or features with reasonable notice. Continued use of MONDAi after changes take effect constitutes acceptance of the new terms.

When you pay for MONDAi, you are purchasing a software license that allows you to access and use the Platform for your own business during the active term of your subscription.

Your license includes (subject to plan limits):

Contacts & CRM (pipelines, stages, tagging, notes)

Email/SMS sending tools and automations

Landing pages, funnels, checkouts, and forms

Booking calendars and reminders

Pipeline automations and triggers

Analytics dashboards and reporting

AI assistants / prompt libraries available at your tier

Your license does not include: your Stripe/PayPal fees, advertising spend, SMS carrier fees, domain registrar costs, Zoom or similar tools, legal/compliance review of your marketing, or done-for-you implementation unless separately contracted.

Annual Plan

You are billed $997 up front.

Your license term is 12 months from activation.

Near the end of that 12-month term you will be notified 30 Days with renewal reminder,

If you decide to cancel your access to MONDAi (and all AI assistants, automations, dashboards, etc.), all access will end when your paid term expires.

Monthly Plan

You are billed each month at the then-current monthly rate (e.g. $97/month).

We may attempt up to 3 payment retries over 7 days for failed charges. If payment cannot be collected, access will be suspended or terminated.

Refunds and Cancellations

All payments are final. We do not offer refunds.

Because MONDAi is a digital platform and access to software, templates, workflows, and AI assistants is provisioned immediately after payment, there are no refunds, chargebacks, or cancellations of the initial payment once processed.

By completing payment, you acknowledge:

You are purchasing immediate access to digital tools, templates, and automations.

You agree not to initiate a chargeback with your bank / card provider for these fees.

You understand non-use of the Platform does not qualify you for a refund or credit.

If you do not agree to this, do not complete checkout.

Refunds may be issued only in cases of duplicate billing, system error, or as required by consumer protection law. If you believe an error has occurred, contact [email protected] within 7 days of the transaction.

Intellectual Property

All software, content, and technology available through MONDAi remain the exclusive property of Calibrated Ascension Consulting LLC and/or its licensors (including GoHighLevel). You are granted a limited, non-exclusive, non-transferable license to use MONDAi solely for your internal business purposes. You may not resell, sublicense, or redistribute the Platform without prior written permission.

Termination, Suspension & Non-Renewal

We reserve the right, at our reasonable discretion, to suspend or terminate your access without refund if:

Your payment method fails and is not corrected;

You violate Acceptable Use/Intellectual Property;

You engage in spam, harassment, unlawful activity, or materially abusive behavior toward support staff or other users;

You attempt to reverse-engineer, resell, or redistribute proprietary assets or AI prompts in violation of these Terms.

If you choose not to renew at the end of your paid term, or your renewal payment is not made, your access to MONDAi will end at the term expiration.

Your Responsibilities (Compliance & Law)

You are solely responsible for:

The legality, accuracy, and ethical nature of all copy, claims, offers, emails, SMS campaigns, funnels, and marketing messages you create or send using MONDAi.

Obtaining proper consent for marketing communications (e.g. email opt-ins, SMS compliance, unsubscribe links, required disclosures).

Honoring privacy, medical/health claims regulations, income/earning claims regulations, FTC and state laws, and any other applicable marketing rules in your region.

We do not provide legal, financial, tax, or medical advice. You should consult qualified professionals before making regulated claims.

No Guarantees / Results Disclaimer

We provide tools, structure, strategy prompts, and infrastructure. We do not and cannot guarantee:

Sales or revenue levels,

Lead volume,

Client bookings,

Audience growth,

Email deliverability performance,

Legal compliance of your messaging.

Your results depend on your offer, pricing, delivery, positioning, traffic, behavior, and external market conditions. You accept full responsibility for your business outcomes.

Support & Service Boundaries

We provide platform support during posted business hours via the support channels we designate (email, help desk, or community).

Support includes:

Basic technical troubleshooting of MONDAi features;

Guidance on how to use included tools;

Clarification of templates and workflow setup.

Support does not include:

Custom funnel builds,

Custom copywriting,

Done-for-you tech setup unless you have purchased that separately.

Typical first response time is within 1–2 business days, excluding weekends and holidays.

Data and Privacy

Your use of MONDAi is subject to our Privacy Policy available at https://getmondai.com/privacy-policy. By using the Platform, you consent to the collection and processing of information as described therein. Because MONDAi is powered by GoHighLevel, some personal or account data may be processed by GoHighLevel as a subprocessor under their own compliance frameworks.

Third-Party Integrations

The Platform may integrate with third-party tools or services (e.g., Stripe, Google, Facebook). You are responsible for reviewing and complying with those third-party terms and privacy policies. We are not responsible for third-party actions or failures.

Availability and Support

We aim to maintain 99% uptime but do not guarantee uninterrupted service. Occasional downtime may occur for maintenance, updates, or issues beyond our control. Support inquiries can be submitted to [email protected]. Response times may vary depending on volume and complexity.

Disclaimers

MONDAi is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be error-free, secure, or meet your requirements.

Limitation of Liability

To the maximum extent permitted by law, Calibrated Ascension Consulting LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of goodwill, arising from or related to your use of MONDAi. Our total liability for any claim under these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Calibrated Ascension Consulting LLC, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of your use of the Platform or any violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in Dallas, Texas, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
