All commission percentages are calculated on net revenue from MONDAi sales after deduction of processing fees. These may vary based on merchant processing fees, payment method, customer location, currency conversion, chargebacks, refunds, taxes, and other transaction-related costs as determined by Calibrated Ascension Consulting LLC.
Commission payments are sent 30 business days after the customer's purchase is complete, provided the transaction has not been subject to chargeback, refund, or dispute, all payment processing is complete, and you have satisfied all requirements in this agreement.
Payments are made via PayPal or direct bank deposit at the company's discretion.
Failure to provide complete and accurate payment information or tax documentation will result in your commissions being held until the information is provided and verified.
Commission payments that remain unclaimed or undeliverable for 12 months from the initial payment attempt will be forfeited and revert to Calibrated Ascension Consulting LLC. The company reserves the right to escheat such funds to the appropriate state authority where required by law.
You may only use marketing materials, creative assets, logos, trademarks, and promotional content that have been expressly approved and provided by Calibrated Ascension Consulting LLC. Use of unauthorized materials is grounds for immediate termination.

You must comply with all applicable laws and regulations including FTC guidelines on endorsements and testimonials, the CAN-SPAM Act, and state and local advertising regulations.
Calibrated Ascension Consulting LLC reserves the right to terminate this agreement and your participation in the program immediately, with or without cause, at our sole discretion. Grounds for termination include breach of this agreement, deceptive or unethical business practices, actions that damage the MONDAi brand, regulatory violations, or consistent underperformance.
Calibrated Ascension Consulting LLC grants you a limited, non-exclusive, non-transferable, revocable license to use approved MONDAi marketing materials solely for the purpose of promoting the program in accordance with this agreement. You may not modify or create derivative works of MONDAi intellectual property, use MONDAi trademarks without written permission, or register domain names containing MONDAi trademarks.
By participating you confirm that you have the legal capacity to enter this agreement, all information you provide is accurate and complete, you will comply with all applicable laws, and you will not engage in fraudulent or deceptive practices.
The MONDAi affiliate program is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Calibrated Ascension Consulting LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data, or use — arising out of or relating to this agreement.
You agree to indemnify, defend, and hold harmless Calibrated Ascension Consulting LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, costs, and expenses — including reasonable attorney's fees — arising from your breach of this agreement or violation of any law or regulation.
This agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under this agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association.
We reserve the right to modify this agreement at any time by posting revised terms. Continued participation after modifications constitutes acceptance of the revised terms.
